Terms of sale
Terms applicable to the supply of NextWaveIndustries solutions (NextKeeper connected furniture, intelligence, terminals and cloud licence).
Template to validate. These terms of sale are a working template. They must be reviewed and adapted by legal counsel before any publication or signature, in particular regarding cross-border clauses (Tunisia / European Union / international), warranty, liability and governing law.
1. Purpose
These terms of sale (the "Terms") govern the sale and provision by NextWaveIndustries (the "Supplier") of the NextKeeper solution: connected billiard-table management furniture, intelligence module and payment terminal, together with the associated cloud software licence and maintenance, to any professional customer (the "Customer").
2. Seller identity
NextWaveIndustries, a limited liability company (SARL) under Tunisian law with capital of 10,000 Tunisian dinars (TND), registered office: Immeuble B24, Bureau 4, Pôle Technologique, Km 3,5 Route de Raoued, 2088 Raoued, Ariana, Tunisia — Unique identifier (RNE): 1856748D — Management no.: C0356542024 — contact@nextkeeper.com — +33 7 66 11 33 90.
3. Prices
Prices are exclusive of tax. The solution comprises two components:
- Initial investment (CAPEX): intelligence + payment terminal: €2,500 per site; connected furniture: from €1,000 per table.
- Subscription (OPEX): cloud licence and maintenance: from €50 per month and per table.
Volume discounts may apply depending on the number of installations. Any accepted quotation prevails over indicative prices.
4. Orders
Every order is formalised by a quotation signed by the Customer. The order becomes firm upon receipt of the accepted quotation and, where applicable, the agreed deposit.
5. Payment terms
Terms (deposit on order, balance on delivery or installation, subscription frequency) are set out in the quotation. In the event of late payment, late-payment penalties may be applied as provided in the quotation and by applicable law.
6. Delivery and installation
Delivery and installation lead times are stated in the quotation and given for guidance only. Installation and commissioning of the connected furniture and terminals are carried out according to the terms agreed with the Customer.
7. Hardware warranty
The hardware benefits from the applicable legal warranty and, where applicable, a contractual warranty whose duration and scope are set out in the quotation. The warranty does not cover damage resulting from improper use, unauthorised modification or lack of maintenance.
8. Cloud licence and maintenance
The subscription provides access to the cloud management platform, software updates, statistics and support, as well as remote maintenance. The licence is granted for the duration of the subscription, on a non-exclusive and non-transferable basis. Service levels (availability, support times) are set out in the quotation or in a separate service agreement.
9. Data
The processing of personal data is described in the privacy policy. Operational data generated by the solution remains the property of the Customer.
10. Liability
The Supplier's liability is limited to direct and foreseeable damage, within the limits permitted by applicable law. The Supplier shall not be liable for indirect damage or for interruptions attributable to third parties (connectivity, payment providers, etc.).
11. Term and termination
The subscription term and termination conditions (notice, renewal) are set out in the quotation. Termination of the subscription does not affect amounts due in respect of the initial investment.
12. Governing law and jurisdiction
These Terms are governed by the law specified in the quotation. Failing an amicable agreement, any dispute falls under the competent jurisdiction designated in the contract. (Clause to be confirmed with legal counsel given the cross-border nature of the business.)
